Provision of service is conditional upon independent confirmation to Kinectrics of the Customer's credit in good standing.

Kinectrics undertakes to exercise professional competence in the performance of the calibration work, but does not assume responsibility for specific operation results, nor for achieving other desired objectives. It will correct any portion of the work which does not meet the ISO 17025 standard, if notified within one year after completion of the work. This shall constitute Kinectrics’s sole responsibility and the Customer’s sole remedy.

Kinectrics’s liability on any claim of any kind, including negligence, for any loss or damage arising out of or resulting from the work, or from the performance or breach of this Agreement, shall in no case exceed the contract price of the work and shall terminate one year after work completion. In no event shall Kinectrics be liable for special, incidental or consequential damages or any other loss that may result directly or indirectly from performance of the work.

The Customer shall pay Kinectrics within 30 days of the date of issuance of Kinectrics’s invoice for the work. Overdue payments shall bear a service charge on the original outstanding amount of one and one half percent (1.5%) per month for an effective annual rate of eighteen percent (18%) until paid.

This Agreement is binding on the successors of each party, represents their entire agreement on the matter of the subject work, and may only be assigned by Kinectrics.
